End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and GPSTravelMaps.com, Inc. and its affiliated entities (collectively, "GPSTM"). You agree that this EULA is enforceable like any written, negotiated agreement signed and agreed to by you in writing and satisfies any laws that require a writing or signature, including any applicable Statute of Frauds requirements. This EULA applies to the access and use of GPSTM software, data, information, and all contents and materials offered by GPSTM (collectively, "Data"). The Data may include, but is not limited to, maps and map data, pictures, images, graphics, audio, video, geocodes and/or geocoded data, traffic incident information and/or data, and text. The Data is licensed, not sold. The rights granted hereunder are conditioned upon your acceptance of the terms set forth herein.

"You" or "your" means the person(s) or entity using the Data or otherwise exercising rights under this EULA. If you are entering into this EULA on behalf of your company or organization, "You" or "your" also refers to your company or organization (as applicable).

Please read this EULA carefully. Breaking the seal of a cd-rom, disc, memory card or any other media, and/or pressing the "I agree" button for a download of any Data, updates, upgrades or supplements is considered use of the Data. By using all or any portion of the Data you accept all the terms and conditions of this EULA and represent that you are of the legal age of majority in the jurisdiction in which you reside (at least 18 years of age in many countries) and have the right and authority to enter into this EULA on your own behalf, or if you are entering into this EULA on behalf of your company or organization, that you have the right and authority to legally bind your company or organization to the terms and obligations of this EULA.

You agree that you shall not challenge the validity, enforceability or admissibility of this EULA on the grounds that it was electronically transmitted or authorized. In addition, you acknowledge that you have had the opportunity to print this EULA. You may also obtain a hard copy of this EULA by contacting GPSTM at PO Box 189 Grand Junction, CO 81502.

RETURNS. If you do not agree to the terms of this EULA, you are not entitled to use the Data and you must press the "Cancel" button to decline the download or promptly exit the install program and do not install the Data. You must promptly return the unused Data, as well as the accompanying digital media, if any, and any other accompanying items to the place where you obtained them. If you obtained the Data directly from GPSTM and if you have already paid for the Data, you may obtain a refund of the purchase price minus a ten percent (10%) processing fee in addition to shipping and handling charges provided that you do not use the Data. You must provide proof of purchase (e.g., a copy of your original sales receipt, credit card statement or canceled check). GPSTM does not provide pre-paid shipping labels for return.

A Return Merchandise Authorization (RMA) number must be obtained prior to returning the Data. To obtain an RMA number, please contact GPSTM’s Customer Service by email at support@gpstravelmaps.com, Monday-Friday, 9:00am-5:00pm MST.

GPSTM will only accept returns on Products purchased directly from GPSTM. The foregoing return policy does NOT apply if the Data is purchased from a GPSTM authorized retailer, reseller, or affiliate. You must contact that retailer directly, and the return is governed by the retailer's policies and terms.

YOU ACKNOWLEDGE THAT, ONCE YOU HAVE SUCCESSFULLY COMPLETED THE DOWNLOAD PROCESS OF THE DATA, THE DATA WILL BE AVAILABLE FOR YOUR USE, AND YOU DO NOT HAVE THE RIGHT TO CANCEL OR RECEIVE ANY REFUND UNLESS OTHERWISE SPECIFICALLY AGREED BY GPSTM IN WRITING OR EXPRESSLY REQUIRED BY OPERATION OF APPLICABLE LAW. In the event that GPSTM decides, in its sole discretion, to refund any amounts paid by you for Data that you have already downloaded and/or accessed, GPSTM may assess a processing fee of twenty percent (20%) of the purchase price in addition to shipping and handling charges.

EXCEPT AS EXPRESSLY PROVIDED FOR IN THIS EULA OR REQUIRED BY OPERATION OF APPLICABLE LAW, GPSTM SHALL HAVE NO OBLIGATION TO REFUND ANY AMOUNTS PAID BY YOU WITH RESPECT TO THE DATA.

All requests for refunds are subject to inspection by GPSTM of the returned item. GPSTM will issue refunds by issuing a credit to the credit card used to purchase the item. GPSTM will not issue any refunds in response to requests made more than fourteen (14) business days following your receipt of the item.

TERM. This EULA shall commence on the date that you install or download the Data, and equally apply to all subsequent updates, map upgrades, “online” or electronic documentation, and internet-based services you install and/or download and shall continue until the earlier of: (i) the date it is terminated in accordance with the terms herein; or (ii) the expiration of the trial period, if applicable.

TERMINATION. GPSTM may terminate this EULA for any reason, including, but not limited to, if you fail to comply with any term(s) of the EULA. In addition, this EULA shall terminate immediately upon the termination of the agreement, if any, between GPSTM and any third party manufacturer or licensor of the navigation device with which you are authorized to use the Data. All provisions relating to payment obligations, confidentiality, indemnity, disclaimers, limitations of liability, proprietary rights, non-disclosure, and any provisions which by their nature extend beyond the termination or expiration of any license of the Data shall survive the termination of this EULA. All other rights and obligations of the parties shall cease upon termination including, but not limited to, all licenses granted hereunder.

Upon receipt of notice of termination of this EULA, you must immediately cease all use and delete all copies of the Data. GPSTM may require you to certify in writing that you have complied with this requirement.

OWNERSHIP. All rights in the product names, company names, trade names, logos, product packaging, and designs of all GPSTM or third-party products or services, whether or not appearing in large print or with the trademark symbol, and the Data, and the copyrights and intellectual property or neighboring rights therein belong exclusively to GPSTM, its licensors and suppliers, or their respective owners and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark, copyright, patent, and other intellectual property laws.

The use or misuse of these trademarks or any Data, except as permitted herein, is expressly prohibited, and nothing stated or implied confers on you any license or right under any copyright, patent, trademark, or other intellectual property right of GPSTM or any third party.

Ownership of the media on which the Data is contained is retained by GPSTM and/or your supplier until after you have paid in full any amounts due to GPSTM and/or your supplier pursuant to this EULA or other agreement(s) under which the Data is provided to you.

PERSONAL USE ONLY. GPSTM hereby grants you a nonexclusive, non-transferable, and limited license to view, access, and use the Data together with only one navigation system or device solely for your personal, internal, non-commercial, and informational purposes only, and not for benchmarking, sublicensing, resale, service bureau, time-sharing or other similar purposes. Accordingly, but subject to the restrictions set forth in the following paragraphs, you may copy the Data only as necessary for backup or archival purposes or use to (i) view it, and (ii) save it, provided that you do not remove any copyright or other notices that appear and do not modify the Data in any way. You agree not to otherwise extract or reutilize any portion of the Data nor use, reproduce, create compilations or derivative works, publish, display, disclose, distribute, copy, modify, adapt, translate, disassemble, decompile, or reverse engineer any portion of the Data, and may not transfer or distribute it in any form, for any purpose, except to the extent expressly permitted by mandatory laws.

Except where you have been specifically licensed to do so by GPSTM and without limiting the preceding paragraph, you may not (a) use the Data with any products, systems, or applications installed or otherwise connected to or in communication with vehicles, or capable of vehicle dispatch, fleet management, or similar applications. Without limiting the foregoing, you may only use the Data in the form delivered by GPSTM and it may not be subject to any further automated or systematic processing.

COPYING OR USE OF THE DATA EXCEPT AS PERMITTED BY THIS EULA IS UNAUTHORIZED AND IS COPYRIGHT INFRINGEMENT UNDER THE LAWS OF YOUR COUNTRY. IF YOU COPY OR USE THE DATA WITHOUT PERMISSION OF GPSTM, EXCEPT AS PERMITTED BY THIS EULA, YOU ARE VIOLATING THE LAW. YOU WILL BE LIABLE TO GPSTM AND ITS LICENSORS FOR DAMAGES, AND YOU MAY BE SUBJECT TO CRIMINAL PENALTIES.

If you wish to obtain interoperability information as permitted under the European Software Directive, you shall grant GPSTM reasonable opportunity to provide such information on reasonable terms, including costs, to be determined by GPSTM. GPSTM permits you to use software provided by GPSTM only in accordance with the terms of this EULA. All rights not expressly stated herein are reserved by GPSTM, and GPSTM disclaims any and all implied licenses.

UPGRADES; UPDATES. This EULA does not grant any rights to obtaining future upgrades, updates, or supplements of the Data (together, "Updates"). If Updates are obtained, however, the use of such Updates is governed by this EULA and the amendments that may accompany them and may be subject to additional payments and conditions. GPSTM reserves the right, in its sole discretion and without incurring any liability or obligation to you, to update, improve, replace, modify or alter the specifications for, functionality of, or information and data included with all or any part of the Data or any of GPSTM’s other products or services from time to time.

ACTIVATION; ACCESS. THE DATA MAY INCLUDE PRODUCT ACTIVATION AND/OR OTHER ENFORCEMENT TECHNOLOGY DESIGNED TO PREVENT UNAUTHORIZED COPYING AND/OR ILLEGAL USAGE AND LIMIT THE ABILITY TO INSTALL/UNINSTALL THE DATA ON A COMPUTER OR A DEVICE TO NOT MORE THAN A FINITE NUMBER OF TIMES, FOR A FINITE NUMBER OF DEVICES. YOU AGREE THAT GPSTM MAY USE THESE MEASURES TO PROTECT ITSELF AND ITS LICENSORS AGAINST SOFTWARE PIRACY.

You are responsible for any applicable charges and fees associated with any data plan fees or other subscription charges or fees of any kind whatsoever that may be required by your carrier to access the Data.

The transmission of your user name, password or activation code to allow any person other than yourself to use Data is expressly forbidden and failure to comply with this prohibition may result is the suspension or termination of the right to continue to use the Data or receive support.

DISCLAIMER OF WARRANTY. THE DATA IS PROVIDED TO YOU "AS IS WITH ALL FAULTS," AND YOU AGREE TO USE IT AT YOUR OWN RISK. GPSTM, ITS LICENSORS, AND ITS SUPPLIERS (INCLUDING THEIR LICENSORS AND SUPPLIERS) DISCLAIM ANY GUARANTEES, REPRESENTATIONS, OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES, DUTIES, OR CONDITIONS OF ACCURACY, COMPLETENESS, EFFECTIVENESS, PERFORMANCE, MERCHANTABILITY, QUIET ENJOYMENT, QUIET POSSESSION, SYSTEM INTEGRATION, USEFULNESS, SATISFACTORY QUALITY, RELIABILITY, AVAILABILITY, WORKMANLIKE EFFORT, LACK OF VIRUSES, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, REASONABLE CARE AND SKILL, OR RESULTS TO BE OBTAINED FROM THE DATA, OR THAT THE DATA WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. If applicable law requires any implied warranties with respect to the Data, all such warranties are limited in duration to ninety (90) days from your date of purchase. Some states and/or jurisdictions do not allow limitations on how long an implied warranty lasts, so the above may not apply to you.

DISCLAIMER OF LIABILITY. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE DATA, AND GPSTM, ITS LICENSORS, AND ITS SUPPLIERS (INCLUDING THEIR LICENSORS AND SUPPLIERS), AND THE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, LAWYERS, OR AGENTS OF ANY OF THEM DISCLAIM ALL LIABILITY FOR ANY LOSS, INJURY, OR DAMAGE RESULTING FROM USE OF THE DATA. The price of the Data does not include any consideration for the assumption of risk of consequential, indirect, special, or unlimited direct damages which may arise in connection with your use of the Data. ACCORDINGLY, GPSTM, ITS LICENSORS, AND ITS SUPPLIERS (INCLUDING THEIR LICENSORS AND SUPPLIERS), AND THE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, LAWYERS, AND AGENTS OF ANY OF THEM SHALL NOT BE LIABLE TO YOU IN RESPECT OF ANY CLAIM, DEMAND OR ACTION, IRRESPECTIVE OF THE NATURE OF THE CAUSE OF THE CLAIM, DEMAND OR ACTION ALLEGING ANY LOSS, INJURY, OR DAMAGES, DIRECT OR INDIRECT, WHICH MAY RESULT FROM THE ACCESS, USE, OR POSSESSION OF THE DATA; OR FOR ANY LOSS OF PROFIT, REVENUE, CONTRACTS, SAVINGS, BUSINESS INTERRUPTION, OR ANY OTHER COMPENSATORY, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE DATA, ANY DEFECT IN THE DATA, OR THE BREACH OF THESE TERMS OR CONDITIONS, WHETHER IN AN ACTION IN CONTRACT OR TORT OR BASED ON A WARRANTY, EVEN IF GPSTM, ITS LICENSORS, OR ITS SUPPLIERS (OR THEIR RESPECTIVE LICENSORS AND SUPPLIERS), OR THE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, LAWYERS, OR AGENTS OF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Subject to the foregoing, and notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced herein), the total aggregate liability of GPSTM, its licensors, and its suppliers (and their respective licensors and suppliers), and the officers, directors, employees, shareholders, lawyers, and agents of any of them arising from or related to this EULA or otherwise with respect to the Data, shall be limited to the amount actually paid by you for the Data. Some states, territories and countries do not allow certain liability exclusions or damages limitations, so to that extent the above may not apply to you. If your use of the Data results in the need for servicing, repair or correction of hardware, software or data, you assume all costs thereof. THESE PROVISIONS ARE AN ESSENTIAL PART OF OUR BARGAIN.

LIMITED WARRANTY. The following limited warranty is available only if you license the Data from GPSTM directly and that you are the original retail buyer. GPSTM warrants that the digital media on which the Data is delivered will be free from defects in material or workmanship for a period of thirty (30) days from your payment of the applicable license fee, provided that the media is used in the way it is intended. Receipt of media replacement and/or subsequent updates or upgrades to the Data shall not restart or otherwise affect the warranty period for previously delivered copies. GPSTM’s sole obligation and liability for breach of the foregoing warranty shall be to replace the defective media, as the case may be.

In order to make a claim under this limited warranty, you must contact GPSTM by email during the thirty (30) day warranty period via support@gpstravelmaps.com to explain the defect and to obtain a Return Materials Authorization number if necessary. In the event the warranty is applied and granted, if requested, you are responsible for shipping the digital media back to GPSTM, as soon as possible following your notification of the defect, along with an explanation of the defect. You must comply with any other return procedures stipulated by GPSTM. GPSTM will not be liable for any damage and/or loss during transit. Notwithstanding anything to the contrary, GPSTM makes no representation or warranty with respect to any third party software or hardware, and undertakes no obligations with respect to any third party software or hardware.

No oral or written information or advice provided by GPSTM, your supplier or any other person shall create a warranty or in any way increase the scope of the limited warranty described above.

THE FOREGOING REMEDY IS NOT INTENDED TO DEPRIVE YOU OF ANY APPLICABLE MANDATORY PROTECTIONS THAT MAY APPLY TO THIS EULA BY OPERATION OF LAW.

SUPPORT. GPSTM has no obligation to provide technical support. GPSTM reserves the right to provide and terminate support services and/or any other related services applicable to this EULA and the Data anytime without notice and/or in the event that the Data has become inoperable or incompatible with current operating systems, hardware, devices, or other technologies. Your use of GPSTM's customer support is governed by the hours of operation, billing rates, and other terms and conditions set forth by GPSTM, in its sole discretion, which are subject to change at any time. Please refer to the FAQ at http://www.gpstravelmaps.com/faq.php before attempting to contact GPSTM for any support.

WARNINGS. The Data may contain inaccurate or incomplete information due to the passage of time, changing circumstances, sources used, and the nature of collecting comprehensive geographic data, any of which may lead to incorrect results. The Data does not include or reflect information on - inter alia - neighborhood safety; law enforcement; emergency assistance; construction work; road or lane closures; vehicle or speed restrictions; road slope or grade; bridge height, weight or other limits; road or traffic conditions; special events; traffic congestion; or travel time.

DO NOT ENTER DATA OR USE THE CONTROLS OF A GPS DEVICE WHILE OPERATING A VEHICLE. IT IS DANGEROUS TO DO SO. PARK YOUR VEHICLE PRIOR TO USING THE DATA. GPSTM TAKES NO RESPONSIBILITY FOR THE CONSEQUENCES OF ANY USE THAT IS INCONSISTENT WITH THIS WARNING OR THE EULA.

CONFIDENTIALITY. At all times during the term of this EULA and thereafter, you shall keep confidential and not disclose, directly or indirectly, and shall not use for your benefit or the benefit of any other individual or entity any Confidential Information of GPSTM or any of its licensors or suppliers. "Confidential Information" means any trade secrets or confidential or proprietary information whether written, digital, oral, or other form which is unique, confidential, or proprietary to GPSTM or its licensors or suppliers, including, but not limited to, the Data, and any other materials or information related to the business or activities of GPSTM which are not generally known to others engaged in similar businesses or activities. You acknowledge and agree that the Confidential Information was developed by GPSTM at considerable time and expense by GPSTM. You must return to GPSTM any of its Confidential Information upon request and/or upon termination of this EULA.

CONTRIBUTIONS. You may suggest new features or functionality or provide data, information, or other materials to GPSTM (together, "User Disclosures"). By providing such User Disclosures to GPSTM (with the exception of personally identifiable information which is covered by our Privacy Policy), you hereby acknowledge that the User Disclosures will become the sole and exclusive property of GPSTM, and you hereby waive and release GPSTM from all liability, claims, and obligations that may arise from the receipt, review, use, or disclosure of any portion of any User Disclosures.

To avoid potential misunderstandings, with the exception of personally identifiable information which is covered by our Privacy Policy, GPSTM cannot agree, and expressly disclaims, any confidentiality obligations or use restrictions, express or implied, with respect to any User Disclosures that you may provide in connection with this EULA or otherwise. You agree that any such User Disclosures will be non-confidential and are assigned by you to GPSTM free of moral rights, intellectual property rights and/or other proprietary rights. GPSTM will be free to use and disclose any User Disclosures on an unrestricted basis without notifying or compensating you, including, without limitation adopting part or all of the User Disclosures as part of the Data or any of its products or services.

Without limiting the foregoing, to the extent that you are unable to completely assign all intellectual property rights in any User Disclosures to GPSTM, you hereby grant GPSTM a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all copyright, trademark, publicity, database, and any other intellectual property rights you have in the User Disclosures, in any media known now or in the future.

You will be solely responsible for all costs, expenses, losses and liabilities incurred, and activities undertaken by you in connection your provision of any User Disclosures to GPSTM. Any physical materials you submit to GPSTM will become GPSTM property and GPSTM will have no obligation to return those materials to you or to certify their destruction.

YOUR REPRESENTATIONS. You represent and warrant that all information provided to GPSTM by you, including, without limitation, any User Disclosures (i) will be in compliance with all applicable laws, rules, and regulations; (ii) will be current, true, accurate, and complete; (iii) do not and will not violate, misappropriate, or infringe any copyright, patent, trademark, trade secret, rights of privacy or publicity, or other proprietary or legal right of any third party or of GPSTM; (iv) do not contain any unlawful, harassing, defamatory, tortious, libelous, sexually explicit, obscene, hateful, racially, ethnically or otherwise objectionable material of any kind; and (v) do not contain viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines or engines that are intended to or may damage, destroy, disrupt or otherwise impair the operation of GPSTM's servers, computers or networks or a user's account, computers, networks or device or to detrimentally interfere with, surreptitiously intercept or expropriate any system, data information, or property of another.

As a condition of your access to and use of the Data, you represent and warrant that you will not use the Data in violation of any applicable law, rule, or regulation or in a manner prohibited by this EULA.

EXPORT CONTROL. You agree not to export from anywhere any part of the Data provided to you or any direct product thereof except in compliance with, an with all licenses and approvals required under, applicable export laws, rules and regulations including without limitation, the U.S. Export Administration Act.

GOVERNMENT END USERS. If the Data is being acquired by or on behalf of the United States government or any other entity seeking or applying rights similar to those customarily claimed by the United States government, the Data is licensed with "Restricted Rights." Utilization of the Data is subject to the restrictions specified in the "Rights in Technical Data and Computer Data" clauses at DFARS 252.227-7013 and 252.227-7015 or the equivalent clause for non-defense agencies. The Data is also classified as a "commercial item" as that term is defined at 48 C.F.R. ("FAR") 2.101. The Data is licensed in accordance with the EULA under which the Data was provided, and each copy of the Data delivered or otherwise furnished shall be marked and embedded as appropriate with the following "Notice of Use," and shall be treated in accordance with such Notice:

The Data is a commercial item as defined in FAR 2.101 and DFARS 252.227-7015, as applicable, and is subject to the End User License Agreement under which this GPSTravelMaps.com Data was provided. © 200x GPSTravelMaps.com - All rights reserved. If the Contracting Officer, federal government agency, or any federal official refuses to use the legend provided herein, the Contracting Officer, federal government agency, or any federal official must notify GPSTravelMaps.com prior to seeking additional or alternative rights in the GPSTravelMaps.com Data.

INDEMNITY. You agree to indemnify, defend, and hold GPSTM, its licensors, and its suppliers (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies, and the respective officers, directors, employees, shareholders, lawyers, agents, and representatives of each of them) free and harmless from and against any liability, loss, injury (including injuries resulting in death), demand, action, cost, expense, or claim of any kind or character, including but not limited to attorney's fees, arising out of or in connection with any use or possession by you of the Data or otherwise arising out of this EULA.

ENTIRE AGREEMENT. The terms and conditions of this EULA constitute the entire agreement between GPSTM (and its licensors and suppliers, including their licensors and suppliers) and you pertaining to the subject matter hereof, and supersedes in their entirety any and all written or oral agreements previously existing between the parties with respect to such subject matter.

GOVERNING LAW AND FORUM. This Agreement shall be construed and governed by the substantive laws of the State of New Jersey as they apply to agreements entered into and to be performed entirely within New Jersey between New Jersey residents, without giving effect to the conflict of laws provisions thereof. The United Nations Convention of Contracts for the International Sale of Goods shall not apply to this Agreement. You expressly consent to the jurisdiction and venue of the state and federal courts of Camden County, New Jersey, as the exclusive forum for all disputes concerning this Agreement, and each Party further agrees to institute any and all actions relating to this Agreement in such courts and hereby irrevocably waives any objections thereto, including on grounds of forum non conveniens.

If the laws of the State of New Jersey are expressly determined not to be applicable to this EULA by a court of competent jurisdiction, then the applicable law will be the law of the jurisdiction of where you purchased the Data and the jurisdiction of such court shall be non-exclusive.

SEVERABILITY. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions hereof shall be unaffected thereby and remain valid and enforceable as if such provision had not been set forth herein. The parties agree to substitute for such provision a valid provision which most closely approximates the intent and economic effect of such severed provision.

RELATIONSHIP OF PARTIES. This Agreement will not be construed as creating an agency, partnership, joint venture, fiduciary duty, or any other form of legal association between you and GPSTM, and you will not represent to the contrary, whether expressly, by implication, appearance or otherwise. This EULA is not for the benefit of any third parties, except as expressly set forth herein.

PRIVACY.
